Herewith our agreement for your reference:

SALES REPRESENTATIVE AGREEMENT

An agreement signed between SHENZHEN TOPMAY INDUSTRIAL CO., LTD. called here the First Party and XXX COMPANY (Sales Representative) called here Second Party.

OBLIGATIONS OF THE SECOND PARTY:
1) Second Party represents and sells the First Party's All Products/Services in geographical area XXXX country.
2) Second Party will carry out marketing and promoting the First Party's Products/Services to all potential customers in his area.
3) Second Party promptly mail in all leads and orders to the First Party.
4) Second Party informs the Sales Manager of all problems concerning First Party's customers within the sales territory.
5) Second Party telephone to the First Party with reasonable frequency to discuss sales activities within the territory.
6) Second Party has the right to cancel this agreement by giving a notice before 30days to the First Party.
7) Second Party should return all materials and Samples provided by the First Party If either Party terminates this agreement.

OBLIGATIONS OF THE FIRST PARTY:
1) First Party will pay a commission 3-5% to the Second Party generated from the total sales amounts and will be paid upon when the customer paid for the shipment.
2) First Party should transfer all trade leads that may come from within Second Party area or territory and Second Party will send such trade leads to the First Party.
3) First Party should provide a reasonable number of marketing and Promotional materials to the second Party.
4) First Party has the right to adjust the Products /Services prices monthly and discuss with the Second Party.
5) First Party has the right to cancel this agreement by giving 30 days notice to the second party.
6) If the First Party terminates this agreement, then First Party should have to pay compensation to the Second Party against the goodwill of his Products / Services amounts will be mutually agreed on both parties.
7) First Party should pay the commission of the second party from the existing customers for a period of 3 months after the agreement termination by either party.
8) Terms and Conditions of this agreement bind both parties.
9) Duration of this agreement is ONE year renewable automatically unless otherwise terminated by either side as mentioned above.
10) This agreement is produced in two original copies each party for one copy.
